PIPE (Private Investment in Public Equity)

Definition:

A financing transaction in which a private investor — typically an institutional fund — purchases shares or convertible securities directly from a listed public company at a negotiated price, bypassing the public markets. PIPEs are commonly used by small- and mid-cap companies requiring rapid capital access.
